1. Definitions
In these Terms and Conditions:
- "Agreement" refers to these Terms and Conditions
- "Services" refers to the business consulting services provided by Crestholm
- "Client" or "You" refers to the individual or entity engaging our Services
- "We," "Us," or "Our" refers to Crestholm
- "Website" refers to our website located at cresthian.business
- "Engagement Agreement" refers to the specific written agreement for consulting services
2. Acceptance of Terms
By accessing our Website or engaging our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with these terms, please do not use our Website or Services.
You must be at least 18 years of age and have the legal capacity to enter into binding agreements to use our Services.
3. Service Description
Crestholm provides business consulting services in the following areas:
- Lifestyle Business Consultation
- Service Business Optimization
- Retirement Transition Advisory
Each consulting engagement is governed by a specific Engagement Agreement that outlines the scope, timeline, deliverables, and fees. These Terms and Conditions supplement but do not replace individual Engagement Agreements.
Our services are available primarily to clients in British Columbia, Canada, though we may work with clients in other provinces on a case-by-case basis.
4. Client Responsibilities
When engaging our Services, you agree to:
- Provide accurate and complete information relevant to the consulting engagement
- Respond to requests for information or clarification in a timely manner
- Attend scheduled consultation sessions or provide reasonable notice of cancellation
- Review recommendations and documentation provided during the engagement
- Make payment according to the agreed terms
- Inform us of any changes in circumstances that may affect the consulting engagement
5. Fees and Payment
Consulting fees are specified in individual Engagement Agreements. Unless otherwise stated:
- Fees are quoted in Canadian Dollars (CAD)
- Payment is due as outlined in the Engagement Agreement
- Accepted payment methods include electronic transfer, credit card, or cheque
- Late payments may incur interest charges at the rate of 1.5% per month
- Services may be suspended if payment is more than 30 days overdue
All fees are subject to applicable taxes, including GST/HST where required.
6. Refund Policy
Our refund policy varies by service type:
- Full refunds are available if you cancel within 48 hours of making initial payment and before the first consultation session
- After the first consultation session, fees are non-refundable but may be credited toward future services
- If we cancel an engagement for any reason, you will receive a full refund of all fees paid
- Refunds are processed within 14 business days of approval
7. Confidentiality
We maintain strict confidentiality regarding all information shared during consulting engagements. Information disclosed by you will not be shared with third parties except:
- With your explicit written consent
- When required by law or court order
- To protect against fraud or other illegal activity
- In anonymized form for research or training purposes
Confidentiality obligations continue indefinitely beyond the conclusion of the consulting engagement.
8. Intellectual Property
All materials, frameworks, and methodologies developed by Crestholm remain our intellectual property. Upon full payment, you receive a limited, non-exclusive license to use frameworks and materials provided during your engagement for your personal business purposes.
You may not:
- Reproduce, distribute, or sell our proprietary materials
- Use our materials for consulting or training others
- Remove copyright or attribution notices from materials
Any insights, strategies, or decisions developed collaboratively during the engagement are jointly owned, and you retain full rights to implement them in your business.
9. Disclaimers
Our consulting services are provided on an "as is" basis. While we strive to provide helpful guidance:
- We do not guarantee specific business results or outcomes
- Recommendations are based on information provided and may require adjustment as circumstances change
- Implementation of recommendations is at your sole discretion and risk
- We are not responsible for decisions you make based on our guidance
Our services do not constitute:
- Legal advice (consult a qualified attorney for legal matters)
- Financial planning or investment advice (consult a licensed financial advisor)
- Accounting or tax advice (consult a qualified accountant)
- Psychological or mental health counseling (consult a licensed therapist)
10. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability for any claims arising from consulting services is limited to the fees paid for that specific engagement
- We are not liable for indirect, incidental, consequential, or punitive damages
- We are not liable for business losses, lost profits, revenue, or opportunities
- These limitations apply regardless of the legal theory of liability
Some jurisdictions do not allow limitation of liability for certain types of damages. In such jurisdictions, our liability is limited to the extent permitted by law.
11. Indemnification
You agree to indemnify and hold harmless Crestholm, its consultants, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising from your use of our Services, violation of these Terms, or infringement of third-party rights.
12. Termination
Either party may terminate a consulting engagement:
- By mutual written agreement
- For material breach of the Engagement Agreement, with 14 days written notice to remedy
- If continuation becomes impractical or unethical
Upon termination:
- You remain responsible for fees for services rendered through the termination date
- We will provide documentation of work completed to date
- Confidentiality obligations continue
- All outstanding invoices become immediately due
13. Dispute Resolution
In the event of any dispute arising from these Terms or our Services:
- Parties agree to first attempt resolution through good faith negotiation
- If negotiation fails, parties may pursue mediation before a mutually agreed mediator
- Any legal proceedings will be governed by the laws of British Columbia, Canada
- Exclusive jurisdiction for legal proceedings is in the courts of Victoria, British Columbia
14. Force Majeure
Neither party is liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, government actions, labor disputes, or other force majeure events. Services may be suspended during such events without penalty, and timelines will be adjusted accordingly.
15. General Provisions
Entire Agreement: These Terms, together with individual Engagement Agreements, constitute the entire agreement between parties regarding the Services.
Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.
Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
Assignment: You may not assign your rights or obligations without our written consent. We may assign our rights and obligations to a successor entity.
Notices: All notices must be in writing and sent to the contact information provided in Section 16.
16. Changes to Terms
We may update these Terms and Conditions from time to time. When we make material changes, we will:
- Update the "Last Updated" date at the top of this page
- Notify active clients via email
- Post the updated Terms on our Website
Changes take effect upon posting. Continued use of our Services after changes constitutes acceptance of the revised Terms. Changes do not apply retroactively to existing Engagement Agreements.
